About the Author
Constance E. Bagley is Professor in the practice of law and management at the Yale School of Management, where she focuses her research on the intersection of law and management, and the ability of top management teams to use the law to create value, marshal resources, and manage risk. A former corporate securities lawyer, Professor Bagley taught at the Harvard Business School and the Stanford University Graduate School of Business and has written several articles and books on the subject of business law. Professor Bagley received her J.D., magna cum laude, from the Harvard Law School and her A.B., with Honors and Distinction, from Stanford University.

Craig E. Dauchy is a partner at Cooley Godward Kronish LLP's Palo Alto office, located in the heart of Silicon Valley, and head of the Venture Capital practice group firm-wide. With nearly 600 lawyers and additional offices in Palo Alto, San Francisco, and San Diego, California; New York City, New York; Reston, Virginia; Washington D.C., and Broomfield, Colorado and Boston, Massachusetts. Cooley Godward Kronish is one of the nation's leading law firms providing counsel to entrepreneurs and venture capitalists. Great book for entrepreneurs -- much more than law5
Any person beginning a new start-up should pick this up before they get much further than an idea. Though geared towards the major legal issues involved in starting a company, this book covers many of the essentials of beginning and structuring a business far better than most of the other books on financing or building start-ups. I've at least looked through a dozen books on the subject and none has had better, more explicit guidance on dividing founder's equity, options, funding relationship and so much more. A Must Read For Entrepreneurs5
This book is such a fabulous resource that I use it as my primary textbook for the M.B.A. course I teach at Kellogg entitled "Business Law for Entrepreneurs." All my new client entrepreneurs receive a hearty recommendation, and if that doesn't work, a plea, to read this insightful and practical guide.

Passed the acid test of negotiating venture capital5
I'm a Silicon Valley executive and entrepreneur. I had to negotiate a term sheet to raise a venture capital round for my company, having never done so. The clear, concise, "human readable" advice in the book gave me all the juice I needed to swing a great deal. What's the ROI on that? And it was a hell of a lot easier and cheaper than iterating with my lawyers.
